The Company and all members of the Company’s Board of Directors confirm that allinformation disclosed herein is true, accurate and complete, with no false or misleadingstatement or material omission.
On April 2, 2023, the Board of Directors of ADAMA Ltd. (hereinafter referred to as the“Board” and the “Company”) received notice from Mr. Ignacio Dominguez informing theCompany of his resignation as the President and CEO (legal representative of the Company)due to resignation from the Company. Mr. Ignacio Dominguez’s resignation will come intoeffect upon the appointment of the new President and CEO entering into effect on May 1,2023. Following his resignation, Mr. Ignacio Dominguez will cease to hold any position inthe Company and its wholly-owned subsidiary, ADAMA Agricultural Solutions Ltd.("Solutions”). As of the date of this announcement, Mr. Ignacio Dominguez does not hold anyCompany shares.The Board highly values and deeply appreciates the significant contribution Mr. IgnacioDominguez made to the Company during his tenure.The 21

Meeting of the 9th Session of the Board of Directors(Announcement No.2023-16) disclosed by the Company on http://www.cninfo.com.cn onApril 4, 2023.According to the Company Law, Listing Rules of Shenzhen Stock Exchange, Guidelines ofShenzhen Stock Exchange on Self-discipline Supervision of Listed Companies No.1 -Standardized Operation of Main Board Listed Companies, the Company’s Articles ofAssociation and other relevant regulations, and after being reviewed by the NominationCommittee of the Board, the Board approved the appointment of Mr. Steve Hawkins as thePresident and CEO of the Company also acting as legal representative of the Company andhis remuneration. The above appointment will be effective from May 1, 2023.
Mr. Steve Hawkins meets the relevant requirements for taking the above position. There isnot any situation that prohibits Mr. Steve Hawkins from being the senior executive of theCompany. Mr. Steve Hawkins has not been subject to any punishment imposed by the ChinaSecurities Regulatory Commission and the Shenzhen Stock Exchange and is not a dishonestparty subject to enforcement. Appendix - Profile of Mr. Steve HawkinsMr. Steve Hawkins, Canadian, born in 1966, holds a Diploma in Agriculture Engineering andan Executive MBA in Food and Agribusiness, both from the Ontario Agricultural College ofthe University of Guelph, and has a bachelor’s degree in Administrative Studies from YorkUniversity. He previously served as ADAMA’s SVP Americas, and prior to that served asRegional Director EAME for Syngenta Crop Protection A.G. Currently, He does not work inthe shareholders holding more than 5% of the Company’s shares or the actual controller ofthe Company.As of the date of this Announcement, Mr. Steve Hawkins does not directly or indirectly holdany of the Company’s shares. Mr. Steve Hawkins has no relationship with any shareholdersholding more than 5% of the Company’s shares, the actual controllers, or other directors,supervisors and senior executives of the Company.Mr. Steve Hawkins has not been subject to any punishment imposed by the CSRC and theSZSE and does not fall under any of the circumstances stipulated in Article 3.2.2 of Guidelinesof Shenzhen Stock Exchange on Self-discipline Supervision of Listed Companies No.1 -Standardized Operation of Main Board Listed Companies issued by the SZSE. Mr. SteveHawkins is not a judgement debtor subject to enforcement. Mr. Steve Hawkins meets all thequalifications set under the applicable laws and regulations.
