Independent Directors

In accordance with the “Administrative Measures for Independent Directors ofListed Companies” of CSRC, the “Rules for Listing of Stocks on the Shenzhen StockExchange” and the “Shenzhen Stock Exchange Self-disciplinary Supervision Guidelinefor Listed Companies No. 1 - Standardized Operation of Listed Companies on the MainBoard” and other requirements, the Board of Directors of ADAMA Ltd. (hereinafterabbreviated as “the Company”) assessed the independence of Ge Ming and YangGuangfu, the two incumbent independent directors of itself, and issued the followingspecial opinions:

Having verified the serving experience of Independent Directors Ge Ming andYang Guangfu and the relevant self-examination documents signed by them, it isconfirmed that the two Independent Directors of the Company do not have anyrelationship that prevents them from making independent and objective judgements,and that there are no circumstances affecting their independence, and that they are incompliance with the “Measures for the Administration of the Independent Directors ofListed Companies”, the “Shenzhen Stock Exchange Self-regulatory Guideline for ListedCompanies No. 1 - -Regulated Operation of Main Board Listed Companies”, and are incompliance with the relevant requirements on the independence of independentdirectors.
